Welcome to Okidoke.

Okidoke is operated by Morpheus Group Inc. (“Okidoke,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of Okidoke’s mobile applications, websites, games, communications features, AI features, and other products and services we provide (collectively, the “Services”).

Please read these Terms carefully. By creating an account, clicking to agree, or otherwise using the Services, you agree to these Terms.

1. Our rules are part of these Terms

Okidoke is built to be a kind, welcoming, social, and encouraging chess community.

Our Community Guidelines and Fair Play Policy are incorporated into these Terms and form part of your agreement with Okidoke. You agree to follow both whenever you use the Services.

If you use Connections, you must also separately agree to and follow our Connections Guidelines.

Our Privacy Policy explains how we collect, use, store, and protect personal information.

If these Terms conflict with one of the policies incorporated into them, these Terms control unless we expressly say otherwise.

2. Who may use Okidoke

You must be at least 13 years old to create an Okidoke account.

If you are under the age of legal majority where you live, your parent or legal guardian must consent to your use of Okidoke where required by law.

Connections is available only to people 18 years of age or older. You may not use or attempt to use Connections if you are under 18.

You may not use Okidoke if you are legally prohibited from receiving or using the Services.

3. Your account

You are responsible for your account and for activity occurring through it.

You agree to:

  • provide accurate information when required;

  • keep your login credentials secure;

  • not impersonate another person;

  • not sell, transfer, or improperly share your account;

  • not create or use accounts to evade a restriction, suspension, or ban; and

  • promptly notify us if you believe your account has been compromised.

We may establish reasonable limits on accounts, features, communications, games, AI usage, storage, or other aspects of the Services.

4. Community conduct

We have zero tolerance for objectionable content and abusive users.

You may not harass, threaten, abuse, intimidate, discriminate against, impersonate, exploit, or deliberately mistreat another person through Okidoke.

You may not use Okidoke to distribute unlawful, fraudulent, threatening, sexually exploitative, malicious, or otherwise prohibited content.

Our Community Guidelines explain these rules in greater detail.

Depending on the circumstances, violations may result in a warning, restriction, suspension, removal of content, loss of particular features, termination of your account, or prevention from creating or using additional accounts.

Serious conduct may result in immediate action.

5. Fair Play

Cheating is not permitted on Okidoke.

All Okidoke games may be monitored and analyzed for Fair Play. We may use automated systems, statistical analysis, technical signals, human review, reports from other users, and other appropriate methods to detect and investigate potential Fair Play violations.

You may not use engines, software, another person, AI systems, external analysis, or other prohibited assistance during games where such assistance is not expressly permitted.

You may not manipulate ratings, results, matchmaking, tournaments, accounts, or other competitive systems.

Our Fair Play Policy explains the rules that apply to play on Okidoke, including when Okidoke’s own Doke-AI features may or may not provide assistance.

We may take action when we determine that a Fair Play violation has occurred. To protect the integrity of our detection systems and other players, we are not required to disclose our detection methods, internal evidence, thresholds, or investigative techniques except where required by law.

6. Your content

Okidoke may allow you to post or share profile information, photographs, messages, comments, game annotations, highlights, posts, media, or other material (“User Content”).

You continue to own your User Content.

By submitting User Content to Okidoke, you give us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, display, distribute, and otherwise use that content as reasonably necessary to:

  • provide and operate Okidoke;

  • display your content to the audiences you select or to whom the feature makes it available;

  • maintain, protect, and improve the Services;

  • investigate abuse, safety, and Fair Play issues; and

  • promote Okidoke where the content was submitted to or made available through a feature intended for public sharing.

You represent that you have the rights necessary to submit your User Content and allow us to use it as described here.

You may not upload or share material that infringes another person’s intellectual property, privacy, publicity, or other legal rights.

We may remove, limit, preserve, or restrict access to User Content when necessary to enforce these Terms, protect users, comply with law, investigate reports, or operate the Services.

7. Messages, conversations, and social features

Okidoke includes social and communications features such as direct messages, table and room conversations, posts, comments, profiles, and Connections.

You are responsible for what you communicate through these features.

Consistent with our Privacy Policy, Okidoke may preserve, access, or review relevant communications and associated information when reasonably necessary to:

  • investigate a user report;

  • enforce our policies;

  • prevent fraud, cheating, abuse, or safety threats;

  • maintain and secure the Services; or

  • comply with applicable law or valid legal process.

The fact that a communication is sent privately does not exempt it from our Community Guidelines or other rules.

8. AI features and Doke-AI

Okidoke may provide AI-powered characters, coaches, analysis, recommendations, conversations, or other features, including Doke-AI.

AI-generated responses can be incomplete or incorrect. You should use your own judgment when relying on them.

Doke-AI characters are artificial intelligence systems, not human beings. They are not substitutes for professional medical, legal, financial, mental-health, or other professional advice.

Using an Okidoke AI feature does not permit you to violate our Fair Play Policy. AI assistance may be unavailable or restricted during particular games or modes.

Messages, prompts, game context, and other information used with AI-powered features may be processed and stored as described in our Privacy Policy.

We may establish usage allowances or limits for AI features, including daily, weekly, monthly, account-based, or paid allowances. Those limits may change as the Services develop.

9. Paid services, subscriptions, and credits

Okidoke may offer paid subscriptions, digital credits, additional usage allowances, premium features, or other paid products in the future.

If you purchase something from Okidoke, the price, billing period, renewal terms, and other material purchase conditions will be shown to you before you complete the transaction.

Purchases made through Apple, Google, or another third-party platform may also be governed by that platform’s payment, subscription, cancellation, and refund terms.

Where a subscription renews automatically, this will be disclosed before purchase. You can manage or cancel a subscription through the platform or method through which you purchased it.

Except where otherwise required by law or the applicable payment platform’s rules, refunds are subject to the terms presented at purchase.

Free, beta, promotional, or introductory features may be changed or discontinued and do not create a right to continued free access.

10. Okidoke’s intellectual property

The Services—including Okidoke’s software, design, visual identity, trademarks, logos, characters, original artwork, interfaces, text, and other materials created by or for Okidoke—are owned by or licensed to Okidoke and are protected by applicable intellectual-property laws.

These Terms give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services for their intended purposes.

They do not give you ownership of Okidoke or its intellectual property.

You may not copy, reproduce, distribute, sell, reverse engineer, circumvent, scrape, exploit, or create unauthorized derivative products from the Services except where applicable law expressly permits it.

11. Misuse of the Services

You may not:

  • interfere with or disrupt the Services;

  • attempt to gain unauthorized access to an account, system, or network;

  • introduce malware or malicious code;

  • probe or defeat security measures;

  • automate access in ways we have not authorized;

  • scrape or collect information from Okidoke without permission;

  • manipulate platform systems or metrics;

  • use Okidoke for fraud or unlawful activity;

  • evade moderation or enforcement measures; or

  • encourage or assist another person in doing any of these things.

12. Third-party services

Some parts of Okidoke may rely on or connect to services operated by third parties, including app stores, payment providers, authentication providers, hosting services, AI providers, or external links.

Their services may be governed by their own terms and privacy policies.

Okidoke is not responsible for third-party products or services that we do not control.

13. Moderation, suspension, and termination

We may investigate suspected violations of these Terms or our policies.

We may warn, restrict, suspend, or terminate accounts; restrict particular features; remove content; invalidate results; adjust access to games or matchmaking; or take other reasonable action to protect Okidoke, its users, and the integrity of play.

In serious cases, we may prevent a person from creating or accessing future accounts, to the extent permitted by law.

We may act without advance notice when we reasonably believe immediate action is appropriate for safety, Fair Play, security, legal, or platform-integrity reasons.

Where we offer an appeal process, you may ask us to review an enforcement decision. An appeal does not guarantee reversal.

Moderation and Fair Play appeals may be sent to appeals@okidoke.com where appropriate.

You may stop using Okidoke at any time and may request deletion or deactivation of your account through the methods we provide.

Sections of these Terms that by their nature should survive termination—including provisions concerning intellectual property, liability, disputes, and prior violations—will continue to apply after your account ends.

14. Changes to Okidoke

Okidoke is an evolving service.

We may add, remove, modify, suspend, limit, or discontinue features or parts of the Services. We may also conduct tests, introduce beta features, establish usage limits, or make features available only to particular users, platforms, regions, or account types.

We do not guarantee that any particular feature will always remain available.

15. Service disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

We do not guarantee that Okidoke will always be available, uninterrupted, secure, error-free, or free from loss of data.

We do not guarantee the accuracy or reliability of content supplied by users, AI systems, third parties, or other sources.

Nothing in these Terms excludes warranties or rights that applicable law does not permit us to exclude.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKIDOKE AND MORPHEUS GROUP INC., INCLUDING THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OPPORTUNITY, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID OKIDOKE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

  2. US $100.

Some jurisdictions do not permit certain exclusions or limitations of liability. Where those laws apply, these provisions apply only to the maximum extent permitted.

17. Your responsibility to us

To the extent permitted by applicable law, you are responsible for claims, losses, or expenses arising from:

  • content you unlawfully submit through Okidoke;

  • your material violation of these Terms;

  • your violation of another person’s legal rights; or

  • unlawful misuse of the Services.

We reserve all rights and remedies available to us under applicable law.

18. Governing law and disputes

These Terms and disputes arising from them will be governed by the laws of the State of Delaware, without regard to its conflict-of-law principles, except where the law where you live requires otherwise.

Subject to any rights you have under applicable consumer law, disputes that are not resolved informally will be brought in the state or federal courts located in New Castle County, Delaware, and you and Okidoke consent to the jurisdiction of those courts.

Nothing in these Terms prevents either party from seeking relief in a court of competent jurisdiction where applicable law requires it.

19. Changes to these Terms

We may update these Terms as Okidoke develops, our practices change, or legal requirements change.

We will update the effective or “Last Updated” date when we make changes.

If a change is material, we may provide additional notice, including through the app, by email, or by asking you to affirmatively accept the updated Terms before continuing to use some or all of the Services.

Your continued use of the Services after updated Terms become effective constitutes acceptance where permitted by law.

20. General terms

These Terms, together with the policies incorporated into them, constitute the agreement between you and Okidoke concerning the Services unless additional terms expressly apply to a particular feature.

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without our permission. We may transfer our rights and obligations as part of a merger, acquisition, reorganization, sale of assets, or other corporate transaction.

Headings are provided for convenience and do not affect interpretation.
